Documents Required to Change Company Name

To successfully change your company’s name, the following documents are required:

  • Proposed New Name you are looking for (to change the name of the company)

  • Copy of Existing Memorandum & Articles of Association (MOA & AOA)

  • Copy of Trademark Certificate (if any, to support the proposed name)

  • NOC if the proposed name is similar to any of your group companies

  • List of Present Directors of your company as on date

  • List of Present Shareholders of your company as on date

  • Digital Signature Certificate (DSC) of one of the existing directors

Procedure to Change Company Name

Application for changing the name of a company must be filed in Form INC-24 along with the prescribed fee. Once approved, a new Certificate of Incorporation in Form INC-25 is issued by the Registrar of Companies.

Step 1: Board of Directors Meeting

  • Issue notice of Board Meeting (minimum 7 days in advance).

  • Conduct the meeting of Directors to decide the agenda for the name change and record the reasons.

  • Pass a Board Resolution to propose the new name.

  • Authorize directors to make an application with the ROC for name approval.

  • File RUN with ROC (CRC) for name reservation and attach a copy of BR and other necessary documents.

  • Once approved, the Registrar will reserve the proposed name for 60 days from the date of application.

Step 2: Shareholders Meeting

  • After reservation of the name by CRC, issue notice for an Extraordinary General Meeting (EGM).

  • Pass a Special Resolution by shareholders approving the new company name.

  • Amend the MOA & AOA to reflect the new name.

  • Submit the special resolution with ROC in Form MGT-14 within 30 days along with requisite documents.

Step 3: Central Government Approval

  • Once MGT-14 is approved, file Form INC-24 for Central Government approval.

Step 4: Role of Registrar

  • Under Section 13(2), the Registrar will enter the new name in the Register of Companies in place of the old one.

  • Issue a fresh Certificate of Incorporation (Form INC-25) with the new name.

  • The change is effective only upon issuance of this certificate.

Step 5: Post Name Change Compliances

  • Intimate to Income Tax Department

  • Intimate to GST Department

  • Intimate to Labour Department

  • Notify other statutory authorities and stakeholders, as applicable
