Step-by-Step Procedure
Step 1: Consent of Proposed Director
The proposed director must provide formal consent to act as a director by filling out Form DIR-2.
Step 2: Digital Signature of Proposed Director
A valid Director Identification Number (DIN) is required. Before obtaining a DIN, the proposed director must acquire a Digital Signature Certificate (DSC).
Step 3: Verification of DIN
If the individual already has a DIN, the process can move forward. If not, they must apply for one. The DIN must be active and not deactivated/disqualified.
Step 4: Checking the Articles of Association (AOA)
The company’s AOA must allow director appointments (as per Section 161(1) of the Companies Act, 2013). If not, the AOA may need amendment.
Step 5: Convene Board Meeting & Issue Notice for General Meeting
The Board must propose the director’s appointment and issue a notice for an Extraordinary General Meeting (EGM) to seek members’ approval.
Step 6: EGM & Issue of Letter of Appointment
